All services are provided in accordance with German engineering standards and applicable regulations. Specific terms for individual projects will be outlined in separate service agreements.

User Obligations

  • Late payment may result in interest charges and suspension of services
  • All fees are quoted in Euros (EUR) and are subject to applicable VAT
  • Additional costs such as permits, materials, or third-party services may be charged separately
  • Refunds will be considered on a case-by-case basis according to the terms of individual agreements

Intellectual Property

The content, features, and functionality of our website and services are owned by neonpath GmbH and are protected by international copyright, trademark, and other intellectual property laws.

This includes but is not limited to:

  • Engineering methodologies, processes, and technical know-how

Confidentiality

We understand that our professional relationship may involve access to confidential information. We commit to:

  • Using confidential information only for the purpose of providing our services
  • Implementing appropriate security measures to protect confidential information
  • Not disclosing confidential information to third parties without client consent
  • Returning or destroying confidential information upon project completion or request

Limitation of Liability

To the fullest extent permitted by applicable law, neonpath GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

We maintain professional indemnity insurance in accordance with German engineering practice standards. Nothing in these Terms shall limit our liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms that is due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, extreme weather conditions, or environmental emergencies
  • Government actions, regulatory changes, or legal restrictions
  • Labour disputes, strikes, or other industrial action
  • Technical failures, cyber attacks, or infrastructure disruptions
  • Pandemics, epidemics, or other public health emergencies
  • War, terrorism, or other acts of violence

In such circumstances, we will make reasonable efforts to minimise delays and will communicate with affected clients regarding alternative arrangements or revised timelines.

Governing Law

These Terms and any separate agreements whereby we provide services to you shall be governed by and construed in accordance with the laws of the Federal Republic of Germany.

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Stuttgart, Baden-Württemberg, Germany.

We will attempt to resolve any disputes through good faith negotiation before resorting to formal legal proceedings. Alternative dispute resolution methods such as mediation may be considered where appropriate.

Termination

Either party may terminate ongoing service agreements in accordance with the specific terms outlined in individual contracts. General termination provisions include:

  • Either party may terminate with appropriate notice as specified in service agreements
  • We may terminate immediately if you breach these Terms or fail to pay fees when due
  • Termination does not affect completed work or payment obligations for services already provided
  • Upon termination, we will provide deliverables for completed project phases
  • Confidentiality obligations survive termination of the agreement
  • Clients remain responsible for all costs incurred prior to termination

We reserve the right to suspend or terminate access to our website for violations of these Terms or for any other reason at our discretion.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated through our website or by direct notification to active clients.
